Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Structure Business Solutions ("SBS," "Company," "we," "us," or "our") governing your access to and use of our website (the "Site"), our digital marketing and related services (the "Services"), and any content, features, or functionality made available through the Site. By accessing the Site or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Site and Services.

SBS provides marketing, advertising, web design, branding, and lead generation services primarily to home services businesses, including but not limited to contractors, remodelers, and tile showrooms.

2. Eligibility

By using the Site or Services, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into these Terms; (c) if you are using the Site or Services on behalf of a business or organization, you have the authority to bind that entity to these Terms; and (d) all information you provide to us is true, accurate, current, and complete.

3. Account Registration

Certain Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to: (a) notify us immediately of any unauthorized use of your account or any other breach of security; (b) provide accurate, current, and complete account information and update it as necessary; and (c) accept full responsibility for any and all activity on your account, whether authorized by you or not.

SBS shall not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Use of the Site and Services

4.1 Acceptable Use

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Site or Services in any way that violates any applicable federal, state, local, or international law or regulation.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm SBS or other users, or expose them to liability.
Transmit any advertising, promotional materials, spam, or other forms of solicitation without our prior written consent.
Impersonate or attempt to impersonate SBS, a SBS employee, another user, or any other person or entity.
Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the servers on which the Site is hosted, or any server, computer, or database connected to the Site.
Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
Copy, modify, create derivative works of, reverse engineer, decompile, or otherwise attempt to extract the source code of any software used on the Site or to provide the Services.
Remove, circumvent, disable, or interfere with any security, copyright, or proprietary notices or access features.

4.2 Monitoring and Enforcement

SBS reserves the right, but has no obligation, to: (a) monitor your use of the Site and Services; (b) take any action we deem necessary or appropriate if we believe a User violates these Terms, including suspension or termination of access; (c) disclose your identity or information to law enforcement or third parties in response to legal process or to protect SBS's rights and interests; and (d) otherwise manage the Site and Services in a manner designed to protect SBS, our users, and the integrity of the Services.

5. Intellectual Property Rights

5.1 SBS Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by SBS, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. No right, title, or interest in or to the Site or any content on the Site is transferred to you. All rights not expressly granted are reserved by SBS.

The SBS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SBS or its affiliates. You must not use such marks without our prior written permission.

5.2 Client Deliverables

For paying clients, the ownership and license terms for deliverables created as part of our Services are governed by the applicable Master Services Agreement, Statement of Work, or other written agreement executed between you and SBS. In the absence of such an agreement, SBS retains all rights, title, and interest in and to all deliverables, and grants you a non-exclusive, non-transferable, revocable license to use deliverables solely for the purpose for which they were created.

6. User Content

You may submit, upload, or transmit content and materials through the Site, including but not limited to text, images, data, feedback, comments, suggestions, and other information ("User Content"). By submitting User Content, you grant SBS a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and create derivative works from your User Content for any purpose related to the Site, Services, and SBS's business, without compensation or notice to you.

You represent and warrant that: (a) you own or have the necessary rights and permissions to grant the above license; (b) your User Content does not infringe, misappropriate, or violate any third-party right; and (c) your User Content complies with these Terms and all applicable laws.

7. Fees, Payment, and Refunds

7.1 Service Fees

Fees for our Services are set forth in the applicable Service Agreement, proposal, or invoice provided to you. Unless otherwise stated in writing, all fees are non-refundable and due in full at the time specified in the applicable agreement. We reserve the right to change our pricing at any time upon notice to you. Continued use of the Services after a price change constitutes acceptance of the new pricing.

7.2 Late Payments

SBS reserves the right to suspend or terminate Services for any account with past due balances. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. You agree to reimburse SBS for all reasonable costs incurred in collecting past due amounts, including attorneys' fees and collection agency fees.

7.3 No Refund Policy

All payments to SBS are final and non-refundable unless otherwise expressly stated in a written agreement signed by an authorized representative of SBS. You acknowledge that marketing and advertising services involve work that cannot be returned, and you waive any right to a refund or chargeback absent a material breach by SBS that SBS fails to cure within thirty (30) days after written notice.

8. Service Performance and Disclaimers

8.1 No Guaranteed Results

SBS makes no guarantees, representations, or warranties regarding specific outcomes, results, rankings, leads, revenue, or return on investment from our Services. Any estimates, projections, examples, or forecasts provided are for illustrative purposes only and do not constitute a guarantee. Marketing outcomes depend on numerous factors, including market conditions, competition, consumer behavior, and your execution, many of which are beyond SBS's control.

8.2 Third-Party Platforms

Our Services may involve advertising on or integration with third-party platforms including Google, Meta (Facebook, Instagram), LinkedIn, TikTok, and others. SBS does not control and is not responsible for the policies, algorithms, availability, or actions of these third-party platforms. Changes to platform policies, algorithms, or features may affect campaign performance, and SBS shall not be liable for any resulting impact on your campaigns or business.

8.3 Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SBS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. SBS DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SBS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SBS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO SBS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). THE EXISTENCE OF MORE THAN ONE CLAIM SHALL NOT ENLARGE THIS LIMIT.

10. Indemnification

You agree to defend, indemnify, and hold harmless SBS, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, judgments, awards, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of, or inability to use, the Site or Services; (b) your violation of these Terms; (c) your User Content; (d) your violation of any applicable law, regulation, or third-party right; or (e) any dispute between you and any third party.

SBS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with SBS in asserting any available defenses.

11. Termination

11.1 Termination by SBS

SBS may terminate or suspend your access to the Site and Services, in whole or in part, at any time, with or without cause, and with or without prior notice, in our sole discretion. Upon termination, your right to use the Site and Services shall immediately cease. SBS shall not be liable to you or any third party for any termination of access to the Site or Services.

11.2 Effect of Termination

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Upon termination, you must promptly pay all outstanding amounts owed to SBS. SBS may retain and continue to use any User Content as permitted under these Terms.

12. Confidentiality

In connection with the Services, you may disclose or provide SBS with non-public business information, data, or materials ("Confidential Information").

SBS agrees to use reasonable care to protect your Confidential Information and not to disclose it to third parties except: (a) as necessary to provide the Services; (b) to our employees, contractors, and service providers who have a need to know and are bound by confidentiality obligations; or (c) as required by law or legal process.

Information is not considered Confidential Information if it: (i) is or becomes publicly known through no fault of SBS; (ii) was in SBS's possession prior to your disclosure; (iii) is independently developed by SBS without reference to your Confidential Information; or (iv) is rightfully obtained by SBS from a third party without a duty of confidentiality.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Ohio, without giving effect to any conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

13.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site or Services shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in the State of Ohio. Judgment on the award may be entered in any court having jurisdiction. You agree to resolve disputes with SBS on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

13.3 Time Limit for Claims

Any claim or cause of action arising out of or related to the Site, Services, or these Terms must be filed within one (1) year after such claim or cause of action arose, regardless of any law to the contrary. Failure to file within this period shall result in the claim being permanently barred.

14. Modifications to Terms

SBS reserves the right, in its sole discretion, to modify, amend, or replace these Terms at any time without prior notice. All changes are effective immediately upon posting to the Site. Your continued use of the Site or Services after the posting of revised Terms constitutes your acceptance of and agreement to the changes. It is your responsibility to review these Terms periodically for updates.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and any applicable Master Services Agreement or Statement of Work, constitute the entire agreement between you and SBS regarding the Site and Services and supersede all prior agreements, understandings, and communications, whether written or oral.

15.2 Waiver and Severability

The failure of SBS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without SBS's prior written consent. SBS may assign or transfer these Terms, in whole or in part, at any time without restriction or notice.

15.4 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and SBS. SBS is an independent contractor in all respects.

15.5 Force Majeure

SBS shall not be liable for any failure or delay in performance of its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, war, terrorism, pandemic, labor disputes, utility or telecommunications failures, internet disruptions, government actions, or third-party platform outages.

15.6 Notices

SBS may provide notices to you via email, regular mail, or by posting on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
